The BIG story...  Kellstrom buys Solair. 

SUNRISE, Fla., Dec 7 (Reuters) - Aircraft aftermarket reseller Kellstrom Industries Inc. said Monday it had agreed to buy Solair Inc., a subsidiary of Banner Aerospace Inc., for $57 million cash.

In addition to the cash, Banner will receive a warrant to purchase 300,000 shares of Kellstrom at $27.50 each.

The deal to buy Solair, a maker of aircraft rotables and expendable components, is part of what Kellstrom termed a continuing, aggressive acquisition strategy. Kellstrom said buying Solair will give it a firm position in the avionics and high-end aftermarket rotables business.

Kellstrom said it would retain the Solair brand name and convert the unit into a Kellstrom division. Solair's 1997 revenues totaled about $72 million.

The deal, which is to close by year-end, is subject to customary conditions, including approval by government regulators.

In a separate news release, Banner said it expects to realize a book loss of about $12.5 million from the deal. Chief Executive Jeffrey Steiner said the sale would give Banner the liquidity it needs to explore its own merger and acquisition strategies
